Welcome to iamadealer.in (“Site,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your use of our website and services as a fully managed ecommerce solution provider. By accessing or using iamadealer.in and/or purchasing any services from us, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use our Site or services.
1. Definitions
1. “Client” or “You” means any individual or entity that registers for or purchases any service on iamadealer.in.
2. “Service” refers to the managed ecommerce website development plans (Basic, Medium, Pro) offered by iamadealer.in, including design, hosting, maintenance, product uploads, and dropshipping support.
3. “Plan” means one of the three subscription tiers (Basic, Medium, Pro) as described in Section 3.
4. “Plan Validity” refers to the eleven (11)month service period that begins on the date of site launch.
5. “Dropshipping Modules” means integrated functionality enabling product import, inventory synchronization, and order routing for suppliers.
6. “Custom Development” refers to any work requested beyond standard plan features (e.g., module creation, API integrations), billed at our hourly rate (₹ 9,000/hr).
7. “Domain” refers to any custom domain registrations or renewals managed by us on your behalf, billed separately.
8. “Downtime” means any period during which your ecommerce site is unavailable to endusers due to server, hosting, or network failures, excluding scheduled maintenance.
9. “Uptime Guarantee” means our commitment to maintain a hosting environment designed for high availability; however, see Section 11 (Limitation of Liability) for exclusions and remedies.
2. Eligibility & Registration
1. You must be at least 18 years old or have legal capacity in your jurisdiction to enter into a binding agreement.
2. If you register on behalf of a business, you represent and warrant that you have the authority to bind that entity.
3. You agree to provide accurate, current, and complete information during registration and to keep it updated.
3. All plans are strictly valid for eleven (11) months from the official site launch date (“Plan Validity”). After Plan Validity expires, services will be suspended unless renewed or upgraded.
3.2 Included Features (for All Plans)
EndtoEnd Management:
– Custom store design (responsive, SEOoptimized)
– Hosting environment configured for high availability and automatic load balancing
– Product catalog creation (images, descriptions, pricing) by our team
– Payment gateway integration (credit cards, UPI, digital wallets, COD options)
– Dropshipping Modules installation (supplier catalog import, inventory sync, order routing)
– SSL/TLS security configuration, firewalls, and regular security audits
– Daily backups stored offsite
– Monthly performance and security reports
DropshippingReady Architecture:
– Supplier integration with hourly stock synchronization
– Automated orderstatus notifications to suppliers and customers
– Preconfigured shipping rules and tax settings
Dedicated Support & Maintenance:
– Ticketbased change requests (product updates, design tweaks, content edits)
– All edits performed by certified ecommerce specialists (no direct store access for Clients)
– 24/7 monitoring and uptime alerts (Pro plan) or businesshours monitoring (Basic/Medium)
– One (1) hour training session on store analytics upon launch
Performance Analytics & Reporting:
– Monthly reports on total visits, conversion rates, top products, and revenue metrics
– Actionable recommendations to optimize sales and user experience
3.3 Plan Upgrades & Exceeded Limits
1. If monthly traffic exceeds 90% of your Plan’s limit, we will notify you via email.
2. If traffic spikes cause site performance degradation or downtime, you must upgrade to a highertier Plan immediately. Failure to upgrade may result in forced suspension until you move to an appropriate Plan.
3. Upgrades midcycle are prorated based on remaining Plan Validity. The new Plan’s validity will restart for eleven (11) months, unless you explicitly request to carry over remaining days on a prorated basis.
3.4 Domain Registration & Renewals
Any domain registration or renewal fees are billed separately at cost plus a service fee (as detailed during checkout).
Domain renewals must be paid a minimum of thirty (30) days prior to expiration to avoid loss of the domain.
We are not liable for domain expiration or transfer issues if renewal fees remain unpaid.
4. Ordering Process & Onboarding
4.1 Selecting a Plan
1. Visit iamadealer.in and choose the Basic, Business, or Enterprise Plan.
2. Complete the checkout form with accurate contact, billing, and business information.
3. Review and accept these Terms before submitting payment.
4.2 Payment Terms
1. All Plan fees are billed upfront in full for the eleven (11) months of service.
2. We accept payment by credit/debit card, UPI, net banking, or other methods displayed at checkout.
3. No refunds will be issued under any circumstances—partial, full, or otherwise—once payment is confirmed.
4.3 Onboarding & Store Build
1. Within twentyfour (24) hours of confirmed payment, our Customer Success team will contact you to collect:
• Product details (images, descriptions, pricing)
• Branding assets (logo, colors, typography guidelines)
• Preferred domain name (if separate from iamadealer.in)
• Payment gateway credentials and shipping/tax details

2. Design & Development Timeline:
• Standard store build (no custom modules): 1–10 business days from receipt of all required materials.
• Custom development requests (e.g., unique integrations, advanced workflows) may extend the timeline based on complexity and availability of resources.
3. Upon completion of design, development, and prelaunch testing (performance, security, crossbrowser), we will schedule a live review session.
5. Service Restrictions & Client Responsibilities
1. No Direct Store Access: Clients do not have administrative access to hosting control panels or content management interfaces. All changes (product uploads, design updates, feature modifications) must be requested via our support ticket system or email.
2. Content & Compliance: You are responsible for ensuring that all products, images, descriptions, and marketing materials you provide comply with applicable laws, regulations, and intellectual property rights. We reserve the right to refuse to publish or remove any content we deem unlawful, infringing, or harmful.
3. Data Accuracy: You warrant that all information provided (tax settings, pricing, product specifications) is accurate. We are not liable for losses arising from incorrect data inputs.
4. ThirdParty Services: Integration with thirdparty payment gateways, shipping carriers, or APIs is subject to those providers’ terms and policies. Any disputes, fees, or liabilities arising from such thirdparty services belong solely to the Client.
5. Security Credentials: You must keep all login credentials, API keys, and passwords confidential. Notify us immediately if a breach or unauthorized access occurs; we will assist in remediation but are not liable for damages arising from delayed reporting.
6. Custom Development & AddOn Services
If you require functionality beyond the standard scope of your Plan, you may request Custom Development or additional services. Examples include:
Custom plugin/module creation (ERP/CRM integrations, specialized checkout flows)
Advanced theme customizations beyond base template modifications
Thirdparty API integration not included in Dropshipping Modules
Bespoke digital marketing support (Google Ads campaigns, email automation setups, SEO audits, content creation)
Rate: ₹ 9,000 per hour.
Process:
1. Submit a detailed request via ticket, specifying desired features and expected outcomes.
2. We will provide a written estimate of hours and cost.
3. Upon your written approval and 50% advance payment (for jobs estimated over ₹ 50,000), we will schedule development work.
4. Remaining balance is due within seven (7) days of project completion and delivery.
7. Support & Maintenance
1. Support Channels: Clients may submit support requests via our ticketing portal or email ([support@iamadealer.in](mailto:iamadealer3@gmail.com)).
2. Response Times:
• EnterprisePlan: 24/7 support, initial response within 2 hours.
• Business Plan: Businesshours support (Monday–Saturday, 10 AM–6 PM IST), initial response within 4 hours.
• Basic Plan: Businesshours support (Monday–Saturday, 10 AM–6 PM IST), initial response within 12 hours.
3. Maintenance Windows:
• Scheduled maintenance (e.g., server patching, security updates): We will notify you at least 2 hours in advance whenever possible.
• Emergency maintenance (e.g., critical security patch, DDoS mitigation): We may perform unscheduled maintenance without prior notice; reasonable effort will be made to minimize downtime.
4. Change Requests:
• All change requests (product additions, UI tweaks, promotional banners) must be submitted via ticket.
• Turnaround times vary based on complexity and queue—typically 24–72 hours for minor changes.
• Complex changes may require additional fees or Custom Development, billed at ₹ 9,000/hr.
8. Fees, Billing, & Payment
1. Plan Fees: All Plan fees are nonrefundable and billed in full upfront for the eleven (11) month period.
2. Domain & SSL Fees: Separate charges apply for domain registration, DNS configuration, and SSL certificate renewals. These are billed annually and are nonrefundable.
3. Custom Development & AddOn Services: Billed at ₹ 9,000 per hour. Payment terms: 50% advance for any single project over ₹ 50,000; remainder due within 7 days of completion.
4. Late Payments: If any invoice is not paid within 7 days of its due date, we reserve the right to suspend or terminate services until payment is received. A late fee of 2% per month may be applied to outstanding balances.
5. Taxes & Withholding: You are responsible for any applicable taxes, duties, or withholdings related to payments. If we are required by law to withhold any portion of payment, we will invoice you for the gross amount needed to ensure full payment of service fees.
9. Cancellation & Termination
1. No Refunds: All sales are final. You acknowledge and agree that no refunds—partial, full, or otherwise—will be provided under any circumstance, including but not limited to:
• Early termination of service
• Failure to launch within expected timelines
• Downtime or performance issues due to traffic spikes or client data inaccuracies
2. Termination by Client:
You may elect not to renew your Plan at the end of the eleven (11) month validity. To avoid automatic suspension at expiration, you must notify us in writing at least 30 days prior to the renewal date.
3. Termination by Us:
We may terminate or suspend your access to the Service immediately if:
• You breach any material term of these Terms and fail to cure within 2 days of written notice.
• We suspect fraudulent activity, illegal content, or violations of intellectual property rights.
• You do not pay any invoiced amount by its due date (see Section 8.4).
Upon termination, we will shut down your store and remove all data from our servers within 3 days, unless you request data export in writing.
4. Survival: Sections 4 (Ordering Process), 8 (Fees), 9 (Cancellation & Termination), 11 (Limitation of Liability), 12 (Indemnification), and 13 (General Provisions) survive any termination.
10. Intellectual Property Rights
1. Our IP: All code, templates, custom modules, documentation, and training materials provided by us remain our sole and exclusive property, except for any opensource components subject to their respective licenses.
2. Client Content: You retain ownership of all logos, images, product descriptions, and other materials you provide. By submitting them, you grant us a nonexclusive, royaltyfree license to use, reproduce, display, and modify such content solely for the purpose of providing the Service.
3. License to Use: During Plan Validity, we grant you a limited, nonexclusive, nontransferable license to access and use your ecommerce site. Upon termination or expiration without renewal, your license to access the site and related assets terminates, subject to data export as described in Section 9.3.
11. Uptime Guarantee & Limitation of Liability
11.1 Uptime Guarantee
We are providing maximum 95.9% uptime on hosting environments. However, “downtime” caused by any of the following events is excluded from the Uptime Guarantee:
Force majeure (natural disasters, acts of war, governmental actions, etc.)
Denialofservice (DDoS) attacks beyond our mitigation capacity
Client data overload (e.g., product imports exceeding plan limits)
Thirdparty service outages (payment gateways, CDN, DNS providers)
Scheduled maintenance (with 2 *hour notice when feasible)
If downtime due to our fault exceeds 0.1% in any given calendar month (measured by total minutes of downtime divided by total minutes in the month), you may submit a request for service credit. Any eligible credit will be applied only toward future hosting fees and cannot exceed 10% of your monthly hosting fee for the affected month.
11.2 Limitation of Liability
1. No Consequential Damages: In no event shall we, our affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, punitive, or consequential damages, including lost profits, data loss, business interruption, or personal injury, arising out of or in connection with these Terms or the provision of services, regardless of theory of liability and even if informed in advance of the possibility of such damages.
2. Aggregate Liability Cap: To the maximum extent permitted by law, our total aggregate liability arising out of or related to these Terms and your use of iamadealer.in shall not exceed the total fees paid by you to us in the twelve (12) month period immediately preceding the event giving rise to liability.
3. No Guarantees Beyond Terms: Except as expressly provided herein, we make no warranties, whether express or implied, regarding merchantability, fitness for a particular purpose, or noninfringement.
12. Indemnification
You agree to defend, indemnify, and hold harmless us, our affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt (including reasonable attorneys’ fees) arising from:
1. Your breach of any representation, warranty, or covenant under these Terms.
2. Your violation of any law, regulation, or thirdparty right (including, but not limited to, intellectual property, privacy, or publicity rights).
3. Your content (e.g., products, images, descriptions) infringing or misappropriating any thirdparty rights.
4. Your misuse of the Service or failure to follow instructions provided in documentation or communications from us.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification. You agree not to settle any such claim without our written consent.
13. Term, Changes to Terms, and Notices
13.1 Term
These Terms are effective as of the “Last Updated” date shown above and remain in effect until terminated by either party in accordance with Section 9.
13.2 Changes to Terms
1. We may modify these Terms at any time by updating this page and indicating a new “Last Updated” date.
2. If we make material changes, we will notify you via email . Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
3. If you do not agree to any changes, you must terminate your Plan before the changes go into effect but no refunds we give.
13.3 Notices
All notices under these Terms must be in writing and delivered either by:
Email to the address you provided during registration (for Client notices).
Email to [iamadealer3@gmail.com) (for notices to us).
Notices are deemed given (a) upon successful email sending (with sender’s delivery receipt), or (b) three (3) business days after deposit in the Indian postal service if sent by registered mail, postage prepaid.
14. Privacy & Data Protection
Our [Privacy Policy](https://iamadealer.in/privacy) governs the collection, use, and disclosure of your personal data. By using our Site and services, you consent to our Privacy Policy and the processing of your information as described therein.
15. Governing Law & Dispute Resolution
1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.
2. Dispute Resolution:
• Any dispute arising out of or relating to these Terms, our Site, or the Service will first be attempted to be resolved through amicable negotiations.
• If no resolution is reached within 30 days, either party may submit the dispute to binding arbitration administered by the Indian Council of Arbitration (“ICA”) under its rules then in effect. The arbitration will be conducted in English and located in Kochi, Kerala.
• The arbitrator’s decision is final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Each party will bear its own costs, except that the losing party shall pay all arbitration fees and reasonable attorneys’ fees of the prevailing party.
16. Miscellaneous
1. Entire Agreement: These Terms (including any documents referenced herein) constitute the entire agreement between you and us concerning the subject matter and supersede all prior or contemporaneous agreements, negotiations, and communications, whether written or oral.
2. Severability: If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision will be struck, and the remaining provisions will remain in full force and effect.
3. Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any right or provision under these Terms will not be deemed a waiver of such right or provision.
4. Assignment: You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets without your consent.
5. Force Majeure: Neither party will be liable for any failure or delay in performing obligations under these Terms if such failure or delay is due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, government orders, or internet outages.
6. Relationship: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and us.
